Job Purpose
To ensure full compliance of AECI and its directors with relevant legislation including the Companies Act, King IV, JSE Listings Requirements, and other applicable statutory provisions. The role supports the Group Company Secretary by maintaining accurate statutory records, facilitating shareholder and board meetings, and ensuring proper authorization and governance of company transactions.
Key Responsibilities

Ensure AECI and its directors comply with Companies Act, King IV, JSE Listings Requirements, and other relevant legislation

Maintain accurate and up-to-date statutory records for the AECI Group

Facilitate properly convened and documented shareholders’ and board meetings, including accurate minute-taking

Oversee timely payment of dividends and ensure transactions are properly authorised

Ensure compliance of associated Trusts with trust deeds

Keep the Group Company Secretary informed of all legislative requirements and changes

Liaise with transfer secretaries and Companies and Intellectual Property Registration Office (CIPC) processes
Qualifications and Experience
-
Minimum Grade 12/Matric
-
Bachelor’s Degree or Advanced Diploma in Law (LLB) or related field

Postgraduate Honours Degree or Diploma preferred

Relevant professional certifications and memberships (e.g., Institute of Chartered Secretaries, Institute of Directors, Compliance Institute of SA)

Minimum of 10 years statutory experience, with at least 5 years in a JSE-listed company environment

In-depth knowledge of JSE processes, Companies Act, CIPC, transfer secretaries and statutory requirements

Strong understanding of corporate law and governance principles
